Transcom WorldWide S.A. (the “Company”) is a Luxembourg public limited liability company (societé anonyme), the shares of which are listed and admitted to trading on the NASDAQ OMX Stockholm.

The Company's corporate governance framework

The Company follows the ten principles of corporate governance of the Luxembourg Stock Exchange (the “Ten Principles of Corporate Governance”), which came into effect on January 1, 2007.

The Company's corporate governance rules are based on the Company's articles of incorporation (the "Articles"), the present corporate governance charter (the "Corporate Governance Charter"), the Company's annual report chapter on corporate governance (the "Corporate Governance Chapter") and the Company's internal regulations.

This Corporate Governance Charter aims to describe the main aspects of the Company's corporate governance policy.
