The Board works on behalf of shareholders to implement and maintain proper governance, oversee financial controls and independent accounting of the company's activities; evaluate the Chief Executive Officer on an annual basis to provide constructive feedback and ensure excellent senior management and leadership; and work with the Company's executive leadership team to evaluate the Company's long-term growth plans and strategic direction.
The Board has four standing quarterly meetings every year that take place in Luxembourg (2) and Sweden (2). The Board also has an annual strategy retreat with the Company's Executive Leadership Team. This meeting is held close to a new or strategically-important Transcom facility/operation around the globe.
The Board has two standing committees, the Remuneration and Audit Committees that meet quarterly to discuss detailed Company data in their respective areas of focus. These Committees present their evaluations and recommendations to the Board. Both Committees manage certain annual responsibilities such as the review of executive compensation and the evaluation and proposal of an external audit firm.
